Corporate Governance

Strongco’s Board of Directors considers good corporate governance to be an integral part of the effective and efficient operation of the Company and essential to the enhancement of long-term shareholder value.

Board of Directors

​John currently serves as Director of Special Projects with IKO Industries Ltd.1, a Canadian-based roofing, waterproofing and insulation manufacturer. In that capacity, he is responsible for mergers and acquisitions, negotiations of joint ventures, and strategic sourcing. John also serves as CFO of a subsidiary business of IKO. Prior to joining IKO in 2006, he served as an engineer at a chemical manufacturing company, as a management consultant at McKinsey & Company, as an advisor at a corporate finance advisory firm, and then as CFO of several technology companies. John holds a B.S. degree in Chemical Engineering from Yale University, and an M.B.A. degree from the Ivey Business School at the University of Western Ontario.

Robert has been Director and Chairman since April 2005. Robert has been an executive officer of Oakwest Corporation Limited, an investment and management holding company, since 1987. He is also a director of Accord Financial Corp., a publicly listed financial services company, and a director of Firan Technology Group Corporation, a manufacturer of high-tech printed circuit boards and precision illuminated display systems.

Anne has been a Director since April 2013. Anne was Chief Financial Officer of Softchoice Corporation, a TSX-listed reseller of technology products and services, from 1998 to 2009. From 1994 to 1997, she was the Chief Financial Officer of Applanix Corporation. She is a director and past chair of the Huntington Society of Canada, director and Treasurer of Evergreen, Centre for Green Cities, and a director and Treasurer of Ontario Telemedicine Network.

Ian has been a Director since April 2006. Ian serves on the board of directors of Jannock Properties Limited, a liquidation trust, of which he is Chairman and President. Prior to 2000, he was Chairman of Jannock, a manufacturer and distributor of building products. Ian was also Managing Partner and Chief Executive Officer of Fraser Milner Casgrain LLP, a leading business law firm.

Mrs. LeBlanc has been Principal at ELE Consulting since 2017, providing consulting services to various companies relating to performance improvement, process change and change management. From 1981 to 2017, she was employed by IKO Industries Ltd., a Canadian-based roofing, waterproofing and insulation manufacturer. During her tenure at IKO Industries Ltd. she held various positions, most recently as Vice President Special Projects from 2011 to 2017. Mrs. LeBlanc has a background in information technology and management information systems.

Mrs. LeBlanc is a member of the CGNCP Committee.

Audit Committee

The Audit Committee is responsible for the oversight of the Fund's accounting and financial reporting practices and procedures, the adequacy of internal accounting controls and procedures, and the quality and integrity of financial statements. Further information concerning the Audit Committee is available in the Annual Information Form.

Corporate Governance, Nominating, Compensation and Pension Committee

The Corporate Governance, Nominating, Compensation and Pension Committee is responsible for developing and examining corporate governance practices, assessing the performance and effectiveness of the Board as a whole, reviewing compensation for the directors, committees, executive officers, and employees; and serving as the nominating committee of the directors. The committee also examines pension governance practices in the corporation. The Committee is responsible for making recommendations with respect to all these matters to the Board.

Disclosure Policy Committee

The Disclosure Policy Committee is a management group that sets benchmarks for a preliminary assessment of materiality, determines when developments justify public disclosure and determines what information will be disclosed. It is responsible for reviewing and updating, if necessary, the Company's disclosure policy on an annual basis or as needed to ensure compliance with changing regulatory requirements and for monitoring compliance with the policy. The committee meets as conditions dictate and reports to the Board.

David was appointed Vice President, Finance and CFO of Strongco in December 2008. Prior to Strongco, he was Executive Vice President and Chief Financial Officer at CPI Plastics Group Limited, a publicly traded company involved in the manufacturing of thermo-plastic extrusion products. David has held senior financial management positions at various other public and private companies in Canada, including Chief Financial Officer of CFM Corporation, a leading manufacturer of gas and wood-burning fireplaces and gas barbeque grills; Senior Vice President, Finance of Magna International Inc.; and Director of Finance for Dell Computer Corporation.
